TellMeBuddy™ – Terms of Service

1. Purpose and Nature of the Platform

TellMeBuddy is an AI-powered wellbeing companion designed to help pet owners better understand their pets through conversational interactions, photo-based analyses, diary-style check-ins, and wellbeing tracking features.

Important Veterinary & Medical Disclaimer

The Platform is not a veterinary service and does not provide medical advice, diagnosis, treatment, or professional veterinary services.

• All outputs—including chats, photo interpretations, analyses, wellbeing indicators, scores, check-ins, and recommendations—are generated by artificial intelligence and may be inaccurate, incomplete, delayed, or inappropriate.
• The Platform does not replace licensed veterinary care, professional judgment, or emergency services.
• Emergency Use Prohibited: The Platform is not intended for emergencies. If your pet shows signs of distress, injury, or illness requiring urgent care, you must immediately consult a licensed veterinarian or emergency clinic.
• You remain solely responsible for all decisions regarding your pet.

2. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Platform. By using the Platform, you represent and warrant that you meet this requirement.

3. Accounts and Security

• You are responsible for maintaining the confidentiality of your account credentials.
• You are responsible for all activity occurring under your account.
• You must notify us immediately of any unauthorized access or security breach.
• We are not liable for losses caused by unauthorized account use.

4. Privacy and Data Protection

Your use of the Platform is governed by our Privacy Policy, which explains how we collect, process, and protect personal data. We comply with applicable U.S. federal and Wyoming state data protection laws.

5. Subscription Plans, Billing, and Usage

5.1 Subscription Tiers

The Platform offers the following plans (availability and features may change):

• Buddy Free – “Start & Explore”
• Buddy Plus – “Smart Care Essentials”
• Buddy Pro – “Full Wellness Intelligence”
• BuddyPartner (Affiliate Tier – not publicly available)

Features, limits, and eligibility are defined in the Platform interface and may vary by plan.

5.2 BuddyPartner (Affiliate Tier)

• BuddyPartner access is opt-in only through participation in the affiliate program.
• New affiliates may receive a one-time 30-day BuddyPartner trial.
• Permanent BuddyPartner status is performance-based and requires qualifying paid referrals.
• BuddyPartner status may be downgraded, suspended, or reactivated based on referral performance or compliance.
• BuddyPartner is not a purchasable subscription and is not publicly listed.
• The Company reserves the right to immediately revoke affiliate status, withhold commissions, and require content removal if an affiliate makes medical, veterinary, misleading, or non-compliant claims, or otherwise violates applicable laws or platform guidelines.

5.3 Automatic Renewal

Paid subscriptions renew automatically on a monthly or annual basis unless canceled before the end of the current billing cycle.

5.4 Cancellation & No Refunds

You may cancel your subscription at any time via account settings. Cancellations take effect at the end of the current billing period. All payments are non-refundable, except where required by applicable law.

5.5 Usage Limits & Fair Use

Each plan includes monthly usage limits (e.g., analyses, chats, diary entries, pets), which reset per billing cycle. All plans are additionally subject to Fair Use protections, including: daily soft limits, rate limiting, abuse prevention measures.

Fair Use controls are designed to protect system stability and apply equally to paid users and BuddyPartner users. We may temporarily restrict or suspend usage at our sole discretion without notice if excessive or abusive behavior is detected.

5.6 Vision vs. Light Photo Responses

• Full Photo Analyses (Vision-enabled) require explicit user action and consume analysis quota.
• Light Photo Responses are text-only, non-diagnostic, do not use Vision, and do not consume analysis quota.
• Diary photo uploads always use light photo responses.
• No AI-generated output should be relied upon as medical, diagnostic, or professional advice.

5.7 Pricing, Taxes & Geographic Restrictions

All prices are displayed in USD only and exclude applicable taxes. You are responsible for any applicable taxes or governmental charges. Certain features or subscriptions may be restricted or unavailable in specific jurisdictions due to regulatory or compliance requirements.

5.8 Suspension or Termination

We may suspend or terminate accounts or subscriptions at our sole discretion for: violation of these Terms, misuse or abuse of the Platform, non-payment, legal or compliance reasons.

6. AI-Generated Content

6.1 Nature of AI Output

All AI-generated outputs are provided for informational purposes only, without warranties of accuracy, completeness, reliability, or suitability. AI behavior, scoring logic, interpretations, and outputs may change over time due to updates, retraining, system improvements, or model replacements.

6.2 Ownership and License

• You retain ownership of your original inputs.
• The Company retains all rights to the Platform, AI systems, prompts, models, software, and service architecture.
• You are granted a non-exclusive, revocable license to use AI-generated output for personal, non-professional purposes only.
• Professional, commercial, or resale use—including veterinary services, breeding programs, consulting, or redistribution of insights—is strictly prohibited.

6.3 Responsibility

You are solely responsible for how AI-generated output is interpreted, applied, relied upon, or shared.

7. User Content and Uploads

By uploading content (including photos, text, or diary entries), you represent and warrant that you have the necessary rights to do so.

You grant the Company a non-exclusive, worldwide, royalty-free license to process, store, and display such content solely for operating and improving the Platform, including model evaluation, quality assurance, safety testing, and system optimization.

We reserve the right to remove content that violates these Terms or applicable law.

8. Intellectual Property

All Platform content, software, trademarks, logos, designs, and materials are owned by or licensed to the Company and protected by applicable intellectual property laws. Unauthorized use is strictly prohibited.

9. Affiliate & Referral Programs

Participation in affiliate or referral programs is optional and subject to additional program rules. Affiliates are independent contractors, not employees, agents, or partners of the Company. Affiliates must comply with all applicable laws, including FTC disclosure requirements.

We are not responsible for statements, representations, or conduct of affiliates and reserve the right to enforce corrective actions as outlined in Section 5.2.

10. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE.”
• WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
• WE DO NOT GUARANTEE UNINTERRUPTED SERVICE, ERROR-FREE OPERATION, OR ACCURATE OUTPUT.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW:

• WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES.
• OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO THE COMPANY IN THE 12 MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify and hold harmless the Company, its affiliates, officers, directors, employees, and agents from any claims, damages, liabilities, losses, or expenses arising from: your use of the Platform, your uploaded content, your violation of these Terms or applicable law.

13. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Wyoming, USA, without regard to conflict-of-law principles. All disputes shall be resolved by binding arbitration in Wyoming, where permitted by law. You waive any right to participate in class actions or representative proceedings.

14. Modifications

We may modify the Platform, features, AI models, or these Terms at any time. Continued use of the Platform after changes constitutes acceptance.

15. Termination Effects

Upon termination:

• your access rights cease immediately,
• data handling follows our Privacy Policy,
• provisions relating to intellectual property, disclaimers, limitation of liability, arbitration, indemnification, and assignment survive.

16. Severability & Entire Agreement

If any provision of these Terms is held unenforceable, the remaining provisions remain in full force and effect. These Terms constitute the entire agreement between you and the Company regarding the Platform.

17. Force Majeure

The Company shall not be liable for any delay or failure to perform resulting from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, governmental actions, power or internet outages, failures of third-party service providers, or interruptions of AI, cloud, payment, or hosting services.

18. Export Control and Sanctions Compliance

You represent and warrant that you are not located in, under the control of, or a national or resident of any country subject to U.S. trade sanctions or export restrictions, and that you will not use the Platform in violation of applicable export control or sanctions laws.

19. Assignment

The Company may assign or transfer these Terms, in whole or in part, without restriction, including in connection with a merger, acquisition, sale of assets, or corporate reorganization. You may not assign these Terms without the Company’s prior written consent.
